This Invitation for Tenders follows the General Procurement Notice for this project which was published on the EBRD website, Procurement Notices (www.ebrd.com) on 9.9.2010.

TERMOELEKTRARNA ŠOŠTANJ d.o.o., hereinafter referred to as "the Employer", intends using part of the proceeds of a loan from the European Bank for Reconstruction and Development (the Bank) towards the cost of UNIT 6 ŠOŠTANJ THERMAL POWER PLANT.

The Employer now invites sealed tenders from contractors for the following contract to be funded from part of the proceeds of the loan:

• Execution of Civil Works for the auxiliary facilities (hereinafter referred RoP as Rest of Plants) of the new 600 MW Unit No. 6 in the Šoštanj Thermal Power Plant Complex. All works will be carried out in Šoštanj at location of new RoP, which will be located at location of existed Power plant Šoštanj. Planned completion of the Works is November 2013.

Tendering for contracts to be financed with the proceeds of a loan from the Bank is open to firms from any country.

To be qualified for the award of a contract, tenderers must satisfy the following minimum criteria:

• The contract is open to civil works contractors (companies registered for execution of civil works) in the form of single tenderer, joint venture or consortium from any country which meets the qualification criteria.

• The tenderer is not subject of compulsory settlement, bankruptcy or liquidation.

• An average annual turnover as the main contractor (defined as billing for work in progress and completed) over the last three (3) years of EUR 10 million.

• The tenderer's qualification shall be proved by appropriate project references. The tenderer shall be able to prove at least two completed contracts for demanding civil engineering structures in the last five years valued at minimum EUR 3,5 million each i.e. the minimum total amount of EUR 7 million.

• The tenderer's should be able to perform contractual works according to key dates specified in Tender Documentation.

• The Tenderer shall demonstrate that it has access to, or has available, liquid assets, unencumbered real assets, lines of credit, and/or other financial means sufficient to meet the construction for a period of 3 months estimated at not less than EUR 400,000 equivalent, taking into account the applicant's commitments to other contracts.

• The Tenderer, and each partner in case of a joint venture or consortium, shall provide accurate information on any current or past litigation or arbitration resulting from contracts completed or under execution by him over the last five (5) years.

• Joint ventures or consortiums must satisfy the following minimum qualification criteria:

– The lead partner shall meet at least eighty (80%) percent of the minimum qualifying criteria for general experience and financial position required above

– Other partners shall meet at least twenty (20%) percent of the minimum qualifying criteria for general experience and financial position required above

• The Tenderer shall submit audited balance sheets for the last three (3) years which should demonstrate the soundness of the Tenderer's financial position.

Tender documents may be obtained from the address below upon payment of a non-refundable fee as follows:

• for foreign applicants EUR 600,00 (VAT excluded)

Evidence of payment must be sent together with the application for tender documents.

Tender documents can be collected in person in the office at the address below, or will be promptly dispatched by courier at Employer's costs; however, no liability can be accepted for their loss or late delivery. In the event of discrepancy between electronic and hard copies of the documents, the hard copy shall prevail.

Tender documents can be collected latest until twenty (20) days prior to the deadline for the submission of tenders.

All inquiries (for purchase and for clarification of tender documents) shall contain reference to Tender number: B6/CW-RoP-05/2012.

All tenders must be accompanied by a Tender Security amounting EUR 200.000,00.

Only tenderers (leading partner) who have purchased Tender Documents are eligible to submit their tender offer.

Tender offers must be delivered to the Termoelektrarna Šoštanj d.o.o. secretarial office (located on the third floor of the head office building) on or before 12.03.2012, at 11:00 hours, and they will be opened same day at 12:00 hours in the presence of those tenderers' representatives who choose to attend and against their presentation of a written power of attorney for participation in the opening procedure.
